1. General provisions

This document is an official proposal (public offer) of the ReStyle.in.ua website regarding the sale of goods posted on the website outside of retail and office premises, to conclude a purchase and sale agreement, and is addressed to individuals and legal entities.

According to Art. 641 of the Civil Code of Ukraine, in case of acceptance of the conditions set out below and payment for the services, the Buyer accepts this offer (concludes a public offer agreement). Acceptance (acceptance) of the Agreement means full and unconditional acceptance by the Buyer of all its terms without any exceptions and restrictions. The Buyer, in accordance with Art. 642 of the Civil Code of Ukraine, confirms the fact of acceptance (acceptance) of the Agreement after familiarizing himself with its terms posted on the ReStyle website.

The contract concluded by the Buyer by means of acceptance of the public offer has legal force in accordance with Article 642 of the Civil Code of Ukraine and is equivalent to the contract signed by the Parties, and is considered such that the Buyer has familiarized himself with and agrees with the terms of this public offer.

  1. Offer – an offer of the Seller, addressed to any individual or legal entity in accordance with Art. 641 of the Civil Code of Ukraine, to conclude an agreement with him on the terms stipulated by the Public Agreement. The Offer comes into force from the moment of its placement on the ReStyle website. This Agreement is considered concluded from the moment of receipt of confirmation of the Order for the Goods from the Buyer.
  2. Order - a list of Goods specified by the Buyer after agreement with the Seller; these are usually not standard goods, but goods that must be manufactured to individual sizes, such as kitchen modules or custom-made countertops.
  3. Seller: ReStyle website on which the Offer is posted.
  4. Buyer: A Consumer or Company that enters into an agreement with the Seller, accepts the Offer and makes payment.
  5. Services: these are services that the Seller provides in connection with the sale of Goods, such as design, measurement and installation.
  6. Simple sale of goods or sale of goods and services: in the case of a simple sale of goods, the Seller sells only the goods, and the Buyer is solely responsible for the measurement and installation; in the case of a sale of goods and services, the Seller performs design and/or measurement and/or installation services in accordance with the agreements and the commercial agreement.
  7. Total Price: The Total Price consists of the price of the Goods specified in the agreement, together with the price of the Services, excluding any additional work required by the Buyer and to be paid for additionally.

The terms and conditions posted on the ReStyle website apply to all retail outlets that are part of the ReStyle branded retail network.

2. Subject of the contract

The Seller undertakes to transfer the Goods to the Buyer, and the Buyer undertakes to accept the Goods and pay for them in the manner and on the terms and conditions stipulated in this Agreement. All offers, order forms, order confirmations, invoices and other documents issued by the Seller are an integral part of this Agreement.

By concluding this Agreement, the Buyer confirms that he is familiar with the information about the Goods, which are made to order and sold under the terms of this Agreement, namely: shape, dimensions, appearance, design, color, size, quality, characteristics of the material from which the Goods are made.

Some designs made from natural and special materials may differ from the sample. For example, veneered facades may differ in color, texture and shades. In general, all Products made from natural materials may differ and have differences:

  • Natural materials may vary in color/expression from product to product (e.g. grain, shade and tone), we believe this is part of their beauty.
  • Tone and grain may vary from batch to batch for all of our products. While we will make every effort to match grains and minimize the impact of any inconsistency during the design and manufacturing process, matches cannot be guaranteed. When adding panels or parts to orders that are already in production, tone variation should always be considered as they will likely use different batches of material.
  • Samples should be considered as representative examples only. We cannot guarantee that the finish of your final product will be identical to any product sample, showroom model or image on our website or in any other marketing center.
  • All wood species are subject to natural color changes and aging processes due to light and atmospheric effects. Such processes will occur throughout the life of the wood and are part of the inherent nature of the material. The customer agrees that these processes cannot be controlled and are unique to each environment.
  • Veneer is a natural product. Variations in patterns and markings can occur even within a bundle, and small imperfections and irregular markings in the veneer structure are very common. This can be caused by many things including natural knots, knot patterns, gum spots causing resin build-up, mineral streaks and the overall shape caused by natural growth reactions. These imperfections represent the unique nature of the growth of the tree and cannot be avoided. We accept no responsibility for natural markings in the materials we use and their inconsistencies.
  • A countertop made of natural materials is the result of years of shaping. Inherent variations in tones, colors and markings are inevitable and unique to each product. Minor cracks and veins in such materials are a natural phenomenon that cannot be controlled. The customer acknowledges and accepts these characteristics of natural materials and agrees that ReStyle is not responsible for such inclusions.

Images of our products on social media, our website or in any other marketing materials are for illustrative purposes only. While we make every effort to ensure that our photographs are as colour accurate as possible, variations in digital screens, light sources, photographs and dye batches mean that we cannot guarantee that the images on your screen will reflect the true colour of our products.

3. Conclusion of the contract

At the Buyer's request, the Seller will make an offer based on the dimensions specified by the Buyer, thus the Buyer bears full responsibility for the correctness of these dimensions, or the Seller will make measurements at the location specified by the Buyer, i.e. where the Goods are to be placed.

The agreement is considered concluded at the moment of acceptance by the Buyer of the offer from the Seller, which will be confirmed by the Seller by confirming the order and paying at least 50% of the total cost. As soon as the payment is received, the order will be put into production and no changes can be made to it.

If an Order is made to customer-provided dimensions, it is the customer's responsibility to ensure that all dimensions and measurements provided are correct and accurate before sending it to production. Returns will not be accepted for items that are the wrong size due to incorrect measurements provided by the customer. ReStyle is not responsible for any errors, delays or increased costs resulting from incorrect measurements or other information provided by the customer.

Our team will always be happy to advise and guide you on the practicalities of certain specifications as part of your initial product selection before you sign an order. However, most design decisions will be unique to your project and personal preferences. Due to the bespoke nature of our products, any changes made to approved designs after you have approved the quotation may result in additional costs and lead times.

The Customer must provide ReStyle with the correct instructions (technical documentation) for any appliances they have purchased or intend to use in their kitchen. ReStyle is not responsible for any discrepancies that may arise as a result of providing incorrect information regarding your appliances or as a result of a delay in providing information regarding your appliances, which may result in a delay in the production of your order.

4. Delivery and installation of the Goods

The Goods are shipped by the Seller in packaging in accordance with the requirements of state standards, technical conditions (or as agreed by the parties). Packaging ensures the safety of the Goods during transportation and storage.

Delivery of the Goods may be carried out by a carrier company or a courier or logistics service, as well as by the Buyer himself. In the case of delivery of the Goods by the Buyer's representatives, the Buyer is responsible for the preservation of the Goods until the moment of its receipt by the Buyer. In the case of delivery of the Goods by a carrier company or a courier or forwarding service, the carrier company or the courier or forwarding service is responsible for the preservation of the Goods until the moment of its transfer to the Buyer.

Ownership of the Goods passes to the Buyer upon full payment with the Seller.

If delivery is to the Buyer's address or to another location outside the Seller's warehouse and the Seller accompanies the transportation process, the free transportation costs offered apply only to deliveries under normal circumstances, to the gate or entrance of the first floor, unless otherwise expressly stated in the offer and/or in the order confirmation. Lifting to the floor or unloading the truck is carried out by the Buyer or at the Buyer's expense. Deliveries requiring the use of additional resources will incur an additional charge, even if this was not stated in the order. If the use of lifting mechanisms is required, the Buyer is responsible for obtaining any permission for this from the (local) government or administration and is responsible for the associated costs. If the Buyer is not present at the scheduled time of delivery and is unable to accept the Goods, any additional transportation by the carrier will be charged to the Buyer at the price of a new paid delivery.

Buyer's obligations regarding the place of installation of the Goods: The Buyer undertakes to ensure that the premises are fully ready for the installation of the order by the specified date, meeting the usual technical requirements for proper placement, accessibility to utilities, free, the walls and floor must be absolutely dry, vertical and level. In addition, the utilities for water supply, the presence of gas and electricity, as well as the necessary drains for water and exhaust, and this in the intended places as indicated in the implementation plan, and the Buyer must also take into account any comments made by the Seller at the measurement stage. If it is established that the Buyer has not fulfilled these obligations, the Seller has the right to suspend the installation work until the Buyer has fulfilled all the above conditions. If nevertheless the installation takes place without the site fully complying with the conditions listed above, this will be at the risk and responsibility of the Buyer, and the Buyer cannot hold the Seller liable for any damage resulting therefrom. The Buyer also guarantees that he or his designated authorized representative is present at the beginning and end of the installation.

Installation includes assembly, assembling, mounting and fastening of Goods purchased exclusively from ReStyle (cabinets, doors, countertops, handles, drawers, legs, skirting boards, cover panels, standard fittings), as well as installation of appliances, faucet and sink purchased from ReStyle, without connection to communications (water supply and electricity). Dismantling services of the old kitchen, furniture and materials are not included and are not offered. The Seller has the right to engage subcontractors to perform assembly, assembly or installation work.

5. Product price

All prices are exclusive of installation costs unless expressly stated in writing.

The price of the Product on the Site is indicated in conventional units - Euro, or in the currency you choose, if possible, or in the national currency of Ukraine (hryvnia) for the Product, but for informational purposes only.

Orders to countries outside of Ukraine may be subject to local VAT, import duties and/or taxes that are levied when your Product reaches your country. You are responsible for paying such import duties and taxes.

The price of the Product includes the cost of delivery within Ukraine (subject to approval of the delivery address by a ReStyle representative) only for delivery under normal circumstances, to the gate or entrance of the first floor. The actual price of any order will be as indicated in your order or invoice. The example prices given on our website are for illustration purposes only.

ReStyle reserves the right to revise its prices at any time, except that once an Order is confirmed, the price set out in that Order will apply (subject to any adjustments to the Order that may result in a price adjustment in accordance with these terms).

If ReStyle becomes aware that there has been a pricing error in a confirmed order, we will notify you as soon as possible. If the pricing error relates to ReStyle cabinets and fronts, no price adjustment will be made to your order. However, if the pricing error relates to items provided by third party suppliers, such as third party countertops, the customer may notify ReStyle in writing within 3 business days of the date we notify you of the pricing error that they wish to cancel the order. If the customer does not respond within 3 business days, they will be deemed to have agreed to the price increase.

6. Payment for the Goods

Settlements between the Parties regarding the terms of this Agreement shall be made in the national currency of Ukraine (Hryvnia), in one of the following ways:

  • by transferring the relevant amount of money by the Buyer to the Seller's bank account in accordance with the bank details specified in the invoice for payment for the relevant Goods provided to the Buyer by the Seller;
  • using bank terminals;
  • payment through banking applications, such as Privat 24, Mono.

Unless otherwise agreed to by ReStyle in writing, the total cost of your order must be paid as follows: 50% of the Order value must be paid as a deposit when the Order is placed. ReStyle cannot begin manufacturing your order until this deposit payment has been received. We will notify you when your order is nearing completion and the remaining total must be received before delivery of your order can be arranged.

Any delay in paying the deposit may result in a delay in the expected delivery date.

The date of payment for the cost of the Goods is the date of receipt of the corresponding amount of funds to the current account.

Goods that can be shipped immediately must be paid for in full at the time of conclusion of the transaction.

7. Installation

  • Claims

Once any work has been carried out on our products, which may include, for example, installation, fitting, cutting, shaping, finishing or varnishing/staining, ReStyle will not accept any further liability for any defects and cannot accept any claims for damage to the Goods. This provision applies even if the work on the Goods is carried out or they are installed within 48 hours of delivery. Installation or any work carried out on our products will be deemed to be acceptance of the goods and any damage reported to ReStyle after installation or during the performance of any work will be deemed to have occurred during the installation/work.

  • Assembly drawings

We recommend that products are installed in accordance with the installation and instruction drawings provided by ReStyle only. ReStyle is not responsible for any misinterpretation of our drawings or any subsequent damage caused by misinterpretation or failure to follow our installation or instruction drawings.

  • Appointment of installers

ReStyle strongly recommends that our products be installed by a professional kitchen installer. ReStyle and customers recognize that professional carpentry and installation skills are a significant factor in the installation and final result of a stunning kitchen. If the customer requests the recommendation of third party installers or contractors to install their ReStyle products, the customer acknowledges and agrees that they may engage any third party installers or contractors at their own risk. The provision of contact details of any third party installers or carpenters does not constitute an endorsement by ReStyle and the appointment of such persons is at the sole discretion of the customer. ReStyle is not responsible for the acts or omissions of any third party installers or contractors, whether or not ReStyle has provided their contact details to the customer.

  • Orders placed by ReStyle

If installation services have been agreed as part of your order, in accordance with the warranty terms set out below, ReStyle warrants that all work carried out by installers and contractors provided by ReStyle will be free from installation defects and is warranted for 2 years from the date of installation of the Product.
If ReStyle is notified of an installation defect within two years of installation by ReStyle installers or contractors, ReStyle will repair or replace the defective item as soon as possible. Defects or damage caused by normal wear and tear, extraordinary causes, negligence or misuse are not covered by the warranty.

  • Installation of household appliances

If the customer purchases an appliance from any third party supplier, the purchase of such appliance shall include installation by the third party supplier, ReStyle assumes no responsibility for the delivery and installation of such appliance, and the customer acknowledges and agrees that the third party supplier's terms and conditions shall apply to such delivery and installation.

8. Processing of personal data

As a result of purchasing a product, you as a customer provide ReStyle with a number of objectively necessary data. The data may include, but is not limited to: name, address, telephone number, email address, offers, orders and/or any photos of your home. ReStyle representatives use this data to fulfill orders in accordance with the agreement and to provide the best service. This data will only be processed for delivery, warranty, maintenance and/or installation obligations. The data will be stored for as long as the obligations to you and other laws apply, and will then be deleted. The data is transferred to subcontractors, such as other manufacturers or logistics partners. These partners are subject to the same conditions as described in these terms of sale and delivery. The data will not be transferred to other partners, except for those that are absolutely necessary.

9. Warranty

When delivering the Goods and Services, the Buyer is obliged to check the conformity of the delivered Goods and Services. The Buyer must immediately notify the Seller by e-mail if he discovers an obvious defect in the delivered Goods and/or Services. If any defects are not notified by e-mail within 7 days after delivery of the Goods and/or Services, the Buyer is deemed to have accepted and approved the delivered Goods and/or Services. If the Buyer makes a complaint and the Seller, after investigation, finds this complaint justified, the Buyer has the choice between: free repair or replacement of the Goods with a similar one or payment of compensation, which may not exceed 20% of the price paid by the Buyer for the Goods and/or Services.

All fronts are guaranteed for 2 years. However, we cannot provide a guarantee on fronts for built-in dishwashers. This is because there is a risk that the hot steam from the dishwasher will be so strong that it can damage the front.

For countertops, we provide a 2-year warranty against defects and intended use.
10-year warranty on all ReStyle cabinets.

20-year warranty on all Blum fittings (hinges, drawer mechanisms, lifting mechanisms).

The warranty never covers damage or defects caused by force, damage caused by moisture or steam, careless use, overloading, improper maintenance, incorrect storage or installation, failure by the Buyer to comply with the instructions for use or assembly, and actions by third parties (e.g. repairs or voltage fluctuations).

The warranty does not cover defects caused by damage during transportation. We are not responsible for any planning errors caused by the customer or any third party. We cannot guarantee that appliances purchased from third-party suppliers can be integrated into a ReStyle kitchen.

The warranty does not cover operational losses, loss of time or any other indirect losses.

10. Responsibility of the parties

For non-fulfillment or improper fulfillment of obligations under the Public Contract, the Parties shall be liable in accordance with the current legislation of Ukraine. The Seller may be held liable only if serious error and/or fraud of the Seller has been proven, but not in the case of a minor error. The same applies if the Seller uses Subcontractors. The Seller may never be obliged to pay compensation for non-material, indirect damage.

In any case, the Seller shall not be liable for any losses caused by force majeure and/or as a result of events beyond the Seller's control, including labor disputes, weather conditions, work interruptions, transportation difficulties or other shortcomings from third parties, epidemics and pandemics, quarantines and other state restrictions that make it impossible to perform the contract with the Buyer normally. In such cases, the Seller's obligations shall be suspended or released from further performance. The Seller shall notify the Buyer thereof in writing.

11. Term of the contract and the procedure for its early termination

The Agreement shall enter into force and legal force from the moment of its acceptance by the Buyer and shall remain in effect until the Parties have fully fulfilled their obligations.

A public contract may be terminated early:

  • by mutual consent of the Parties;
  • by court decision;
  • in the event of force majeure circumstances, confirmed by a relevant document from the competent authority.

The Buyer does not have the right to unilaterally terminate the contract with the Seller without the Seller's prior written consent.

12. Final provisions

The Buyer guarantees that all the terms of this Agreement are clear to him and he accepts them unconditionally and in full. This Agreement is concluded by the Buyer's acceptance of this public offer, which contains all the essential terms of the Agreement, on the terms stipulated by this Agreement without signing by the Parties. In cases not regulated by this Agreement, the Parties undertake to be guided by the norms established by the current legislation of Ukraine.

The information is considered brought to the attention of the Buyer if it is posted on the Seller's website. All legal relations arising from this Agreement or related to it, including those related to the validity, conclusion, execution, amendment and termination of this Agreement, the interpretation of its terms, the determination of the consequences of invalidity or violation of the Agreement, are governed by this Agreement and the relevant norms of the current legislation of Ukraine, as well as business practices that apply to such legal relations on the basis of the principles of good faith, reasonableness and fairness.

The invalidity of individual provisions of the Public Agreement does not imply the invalidity of the Public Agreement as a whole, since it can be assumed that this Public Agreement could have been concluded without including such provisions in it.

The Buyer confirms that from the moment of placing the Order, he (the Buyer) is familiar with the rights provided for by the Law of Ukraine "On Personal Data Protection".

The Buyer consents to the processing, storage and transfer (distribution) of his personal data to third parties included in the Seller's personal data database "Counterparties", exclusively for the purpose provided for in this Agreement, to entities related to the implementation of this purpose.

This Agreement is drawn up with the Parties' full understanding of its terms and terminology in the Ukrainian language.

All annexes to the Agreement are an integral part of it and have equal legal force with this Agreement.
